Constitution

1. Name

The name of the group will be Save Bennachie.

2. Office

The group will be located in Chapel of Garioch (working address to be confirmed in due course).

3. Objectives

The objects of the group are:

3.1 Protect Bennachie and its environment from the proposed A96 dualling by the Scottish Government and Transport Scotland by working with all stakeholders and interested parties.

4. Membership

4.1 Membership shall be open to all

4.2 Interested individuals will be asked to confirm that they wish to be members and to provide their approval to their details being kept on a members' data base, which shall be maintained in accordance with current data protection legislation.

5. Management Group

5.1 A Core Team will be formed to co-ordinate the activities of Save Bennachie.

5.2 The Core Team will include up to 12 members representatives drawn from the membership.

5.3 The Core Team will have the ability to enrol additional members. 5.4 Where appropriate sub-groups will be formed for specific tasks.

5.5 The Core Team will initially be Mark Worsley (leader), Bob Smith (deputy leader), Margaret Garden, Jolyon Robinson, Lynda Bain (secretary) mandated by the Chapel of Garioch gathering.

6. AGM

6.1 An AGM will be held in November, with 14 days public notice

6.2 All registered members will have voting rights to elect the Members Representatives at the AGM.

6.3 A report of the team's activities and a financial statement will be presented to the meeting.

7. Extraordinary AGM

7.1 The Core Team will be obliged to call an EGM within 21 days on receipt of a written request signed by 4 (four) members.

8. Control of Finance

8.1 All monies raised by Save Bennachie shall be applied to further the objects of the group and for no other purposes.

8.2 The funds shall be administered by the Core Team through the office bearers. 8.3 All cheques must be signed by the Treasurer plus one other office bearer.

8.4 The Treasurer will be responsible for monitoring the funds, and presenting accounts at Core Team meetings.

9. Alterations to the Constitution

9.1 Alterations can only be made at the AGM when tabled in advance or at an EGM called specifically for that purpose.

9.2 Any change requires to be carried by a two-thirds majority of those present and entitled to vote.

10. Dissolution

10.1 If at any time, on the grounds of expense or otherwise it is necessary or advisable to dissolve Save Bennachie an EGM will be called with not less than 21 days notice.

10.2 If such a dissolution is confirmed by a two-thirds majority of those present and eligible to vote, the assets of the group shall be disposed of after all debts and liabilities have been met. Such assets shall be distributed to constituted groups with charitable status working on similar projects in Aberdeenshire as voted by the membership.

This constitution was adopted at a committee meeting on 17 December 2015.
